Terms of Service

• Interference: Interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any content.
• Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

"User Content" means any content that you post, submit, or otherwise transmit to the Service (e.g., pantry items, recipe notes, photos).

• Ownership: You retain copyright and any other proprietary rights that you may hold in the User Content that you post to the Service.
• License: By posting User Content, you grant kernelcook a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, prepare derivative works of, distribute, and publicly display your User Content in connection with the Service.
• Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of kernelcook and its licensors.

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of kernelcook.

Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms as we may update them from time to time.

• Authorization: You authorize us to charge your chosen payment provider for the Service.
• No Refunds: All fees are non-refundable unless otherwise stated or required by law.
• Price Changes: We may change the fees for any feature of the Service, including additional fees or charges. We will give you advance notice of these changes before they apply.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account via the settings page.

You agree to defend, indemnify, and hold harmless kernelcook and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, by you or any person using your account and password;
• A breach of these Terms;
• Content posted on the Service;
• Your violation of any law or the rights of a third party.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

kernelcook its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

You assign all rights, title and interest in any Feedback you provide the Company. If for any reason such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
